Employees and competitors of Sponsor and each of their officers, directors, members, affiliates, subsidiaries, franchises, agents, advertising, promotional and sweepstakes agencies, fulfillment companies, public relations companies, judging organization, distributors/wholesalers, retailers and any other party associated with the development or administration of the Sweepstakes —including those involved in the administration and execution of the Sweepstakes—and their immediate families (parents, children, siblings, spouse) and members of their same households (whether related or not) are not eligible to participate or win. By submitting the registration form, each entry and the Submission will become the exclusive property of Sponsor and will not be acknowledged or returned. Entry into the Sweepstakes constitutes permission to use each entrant’s name, image, likeness as well as the contents of an entrant’s Submission in advertising and for editorial, publicity, promotional and other purposes in all media now known or hereafter devised, without notice, compensation or other consideration by Sponsor (except where prohibited by law). Once Submission has been submitted, the entrant will be officially entered into the Sweepstakes. Submission cannot be revised or altered once submitted. A valid e-mail address and internet access are required to enter the Sweepstakes. No form of entry other than specified herein is permitted. Use of automated, programmed, robotic or like forms of entry is prohibited.  Sponsor is not responsible for typographical errors or any other errors submitted by entrants. Sponsor will not be responsible for lost, garbled, illegible, scrambled, jumbled, destroyed, delayed or misdirected Submission, or for unauthorized access to or alterations of Submission or for errors, omissions, deletions, defects, theft, destruction, interruptions, failures in transmission of Submission, malfunctions of electronic equipment, computer hardware or software, delays in operation, problems registering with the Site, submitting Submission or for other technical problems related to the Internet.  Without limiting anything set out elsewhere in these Official Rules, in the case of any dispute, entries will be deemed submitted by the Authorized Account Holder (as defined below) of the e-mail address submitted at the time of entry. "Authorized Account Holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Any entrant may be requested to provide Sponsor with proof that he/she is the Authorized Account Holder of the e-mail address associated with his/her entry. Mechanically reproduced entries or entries otherwise generated by a script, macro or other automated means are not eligible and will be disqualified.  An entry must be made by the Authorized Account Holder of the e-mail address submitted on the Sweepstakes registration form. Limit one (1) entry per person. Multiple entries from one person may, in Sponsor’s sole discretion, disqualify all subsequent entries. To qualify, Submission must be received during the Sweepstakes Period. Submissions not complying in all respects with the Official Rules are subject to disqualification. In consideration of participating in the Sweepstakes, each entrant unconditionally and irrevocably assigns and transfers to Sponsor all right, title and interest in and to the contents of his/her Submission, and upon Sponsor’s request, will execute any documents necessary to effectuate such ownership. For the avoidance of doubt and without limiting anything set out elsewhere in these Official Rules, by entering the Sweepstakes, entrants grant Sponsor the royalty-free, irrevocable, perpetual worldwide right to use, reproduce, copy, publish, display, distribute, perform, translate, adapt, edit, modify and otherwise exploit entrant’s Submission in any way, in any and all markets, in any and all media now known or hereafter devised without limitation and without notice or consideration to the entrant. By entering the Sweepstakes, each entrant represents and warrants that he/she has the sole and exclusive right to grant such rights to Sponsor, and that Sponsor’s reproduction, publishing, broadcasting, displaying and/or other use of the Submission will not infringe upon or violate the rights of any third party. Select Submission may be featured on the Site, third party web sites and/or in other promotional materials and advertising related to the Sweepstakes. By entering the Sweepstakes, each entrant agrees on behalf of himself/herself, his/her executors and heirs that s/he have no right to bring, and covenant not to bring, any claim, action, or proceeding of any kind or nature whatsoever against Sponsor or any of its officers, directors, members, affiliates, subsidiaries, franchises, agents, advertising and sweepstakes agencies or fulfillment companies in connection with the Sweepstakes.  PRIZE DESCRIPTION: There are three (3) Grand Prizes.  Each Grand Prize winner will receive (2) two First Class Airline Tickets on airline of choice to anywhere in the continental United States, subject to Sponsor approval. The two tickets will be for two people, to be used on (1) one round trip flight. Winner and guest must travel together on same itinerary. Tickets are subject to availability and are not guaranteed until ticketed.  In the event First Class accommodations may not be available in winner’s nearest commercial airport or to winner’s selected destination, winner can book (2) Coach Airline Tickets to a connecting flight, where First Class is available. Tickets subject to the terms and conditions as applicable to selected airline, which is based on Sponsor’s approval, in its sole discretion. Tickets are non-refundable once booked. Any difference between the stated approximate retail value and actual value will not be awarded, except at the sole option and discretion of the Sponsor.  Tickets must be booked before December 31, 2009 and trip must be scheduled prior to June 30, 2010.  Approximate Retail Value of each Grand Prize is: $4,000 or less. The total approximate retail value of all available prizes is: $12,000 or less. Prizes are subject to the restrictions set forth in these Official Rules. WINNER SELECTION AND NOTIFICATION: Limit of one (1) Grand Prize per person.  Potential Grand Prize Winner(s) will be selected in a random drawing from all eligible entries on or about September 1, 2009 (the “Drawing Date”) by Fulfillment Systems Inc., the “Official Judging Agency” for the Sweepstakes. The decisions of the Sponsor and the Official Judging Agency are final and binding in all matters relating to this Sweepstakes. Odds of winning will depend upon the number of eligible entries received. Any potential winner that is selected will be notified by mail, e-mail and/or telephone. If a potential winner cannot be contacted, does not respond within seven (7) days from the date Sponsor first tries to notify him/her, and/or the prize or prize notification is returned as undeliverable, such potential winner forfeits all rights to win the Sweepstakes and receive a prize, and an alternate potential winner will be selected via a random drawing. Upon contacting a potential winner and determining that he/she has met all eligibility requirements of the Sweepstakes, including without limitation, the execution of required waivers, publicity and liability releases, disclaimers and any other documentation required by Sponsor within the timeframe specified by Sponsor, such individual will be declared a “Winner” of the Sweepstakes. PRIZE RESTRICTIONS: No prize or any portion thereof is transferable or redeemable for cash. Any portion of the prize that is not used is forfeited. No substitutions for prizes except by Sponsor in its sole discretion, in which case a prize of equal or greater value will be substituted. Winners will be solely responsible for all expenses, costs and fees associated with acceptance and/or use of prizes including, without limitation, any and all federal, state and/or local income and other taxes, if any. All federal, state and local laws apply. An IRS Form 1099 may be issued to a Winner and a Winner may be required to provide his/her social security number for reporting purposes. Sponsor makes no warranty with respect to Grand Prize. Neither an award of the cash equivalent be made nor will the assignment of Grand Prize be permitted. RELEASE: By entering the Sweepstakes, each entrant releases and discharges, on behalf of himself/herself, and his/her executors and heirs, Sponsor, judging organization (if applicable), and any other party associated with the development or administration of the Sweepstakes, its/their parent, subsidiary, and affiliated entities, and each of its/their respective officers, directors, members, shareholders, employees, independent contractors, agents, representatives, transferees and assigns (collectively, “Sponsor Entities”), from any and all liability whatsoever in connection with and/or related to the Sweepstakes, including, without limitation, from any and all causes of action, liabilities, suits, claims (including but not limited to, third party claims that may be made against entrants, and claims arising out of or relating to acceptance, receipt, possession or use/misuse of any prize, or any publicity or other public exposure of entrants, including without limitation, claims concerning infringement or invasion of entrants’ privacy or publicity rights, or defamation, or acts undertaken in preparation for, or participation in, the Sweepstakes), cross-claims, counterclaims, costs, injuries, losses or damages or demands of any kind (including without limitation personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light) (collectively, “Claims”), whether or not arising from the negligence of a Sponsor Entity. Except where prohibited: (i) acceptance of a prize constitutes a release by any winner of the Sponsor Entities of any and all Claims in connection with the administration of the Sweepstakes and the use, misuse, or possession of any prize; (ii) any potential winner may be required to sign an affidavit of eligibility (including social security number) and a liability/publicity release; and (iii) if prize involves travel or activities, any potential winner and travel companion (if applicable) may be required to execute releases of Sponsor from any and all liability with respect to participation in such travel/activities and/or use of the prize. Affidavits and releases must be returned within seven (7) days from the date that Sponsor first tries to notify the potential winner. Entries that are lost, late, misdirected, incorrect, garbled, or incompletely received, for any reason, including by reason of hardware, software, browser, or network failure, malfunction, congestion, or incompatibility at Sponsor’s servers or elsewhere, will not be eligible. Sponsor may disqualify an entrant(s) at its sole discretion if such entrant(s) show a disregard for the Sweepstakes or Official Rules, or if such entrant(s) act(s): (a) in a manner Sponsor determines to be not fair or equitable; (b) with an intent to annoy, threaten or harass any other entrant or the Sponsor; (c) in any other disruptive manner; or (d) in violation of the Privacy Policy and Terms & Conditions of the Site. Notwithstanding anything to the contrary contained in these Official Rules, Sponsor further reserves the right in its sole discretion to cancel, terminate, modify or suspend the Sweepstakes if it is not capable of completion as planned, including by reason of electronic viruses, other malicious software attacks, unauthorized intervention, systems malfunctions, bugs, tampering, failures, difficulties, force majeure or other causes of any sort; in such event, if Sponsor, in its sole discretion, determines to continue with the Sweepstakes, for all affected drawing(s), the winners will be selected in a random drawing from among all eligible entries received for such affected drawing(s) prior to and/or after (as appropriate) the action taken by Sponsor, in which event, notice will be posted at www.3Mprivacyfilter.com/MiddleSeat. NEITHER SPONSOR NOR THE SPONSOR ENTITIES HAVE MADE OR MAKE OR ARE RESPONSIBLE FOR OR LIABLE FOR ANY WARRANTIES, REPRESENTATIONS OR GUARANTEES, EXPRESS OR IMPLIED, IN FACT OR IN LAW, AS REGARDS THE SWEEPSTAKES OR THE MERCHANTABILITY, QUALITY OR FITNESS FOR A PARTICULAR PURPOSE REGARDING ANY PRIZE OR ANY COMPONENT OF ANY PRIZE, AND THE PRIZE IS TENDERED TO ENTRANTS ON AN “AS IS” BASIS.
