Official Rules

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A purchase will not improve your chance to win. Void where prohibited. Subject to all federal, state and local laws. Sweepstakes begins July 1, 2009 and ends December 31, 2009 (the “Sweepstakes Period”).

AM I ELIGIBLE? Open only to legal residents of the 50 United States and District of Columbia, 18 years of age or older, as of their date of entry. Void where prohibited. Employees of Meadow Springs Corporation, all other Promotion Partners and any other entities, their parents, affiliates, subsidiaries, participating retailers, advertising and promotion agencies, web site providers or other parties involved in any aspect with the creation, production, operation, execution and fulfillment of the Sweepstakes (individually or collectively, the “Promoters”) and the immediate family members (parents, siblings, children and spouse) and/or those living in the same household of each are not eligible to enter or win.

HOW DO I ENTER? Enter online during the Sweepstakes Period:

Beginning July 1, 2009 at 12:00:01 a.m. Central Time (“CT”), visit www.meadowspringscorp.com, complete and submit the official online entry form by December 31, 2009 at 11:59:59 p.m. Central Time (“CT”).

All entries:

a. You must provide correct information in all required fields (name, address, city, state, zip code, phone number, e-mail address and age). Entries that are incomplete or non-compliant with these Official Rules will be void.

b. Automated or robotic entries are not permitted and will be void.

c. Limit of one (1) entry per person per day; all duplicate entries will be void. A day is defined as beginning at 12:00:01 a.m. CT each 24 hours of the Sweepstakes Period and ends at 11:59:59 p.m. CT, each day. The official time keeper for this Sweepstakes is Fulfillment Systems, Inc.

d. Proof of submitting your entry will not be deemed to be proof of receipt by Sponsor; responsibility for receipt of entry rests solely with the entrant. Neither Sponsor nor any of its agents are responsible for incorrect, inaccurate or incomplete entry of information or for entries which are lost, late, delayed, misdirected, electronically garbled, damaged, incompletely received, or otherwise defective or lost in cyberspace due to any reason, all of which will be voided.

e. All entries become the property of the Sponsor and will neither be returned nor acknowledged.

WHAT CAN I WIN?

Twenty five (25) Grand Prizes. Each Grand Prize winner will receive a “Green Home Makeover” to be performed by an authorized Green Irene Eco-Consultant. If potential prize winner does not have an authorized Green Irene Eco-Consultant within 50 miles of their primary residency, a substitute prize of a $99 Gift Card for online purchases at www.GreenIrene.com will be awarded in lieu of the Makeover. Approximate Retail Value of each Grand Prize is: $99. One Hundred (100) First Prizes. Each First Prize winner will receive a Meadow Springs Reusable Tote Bag. Approximate Retail Value of each First Prize is: $1.00. Total Approximate Retail Value of all available prizes is: $2,575.00. Winner acknowledges that SPONSOR has neither made nor is in any manner responsible or liable for any warranty, representation or guarantee, expressed or implied, in fact or in law, relative to the prizeS. All taxes associated with accepting the Grand or First prize are the sole responsibility of the winners. Sponsor reserves the right to substitute a prize of equal or greater value, if the advertised prize becomes unavailable for any reason. Acceptance of prize constitutes permission to the Promoters (and their designees) without any further compensation, consideration, notice, review or consent, to unconditionally and irrevocably use, exhibit and publish, in any medium now known or hereinafter known at any time, throughout the world in perpetuity, the following: (a) winner’s names, cities and states of residence, images, likenesses, and statement for advertising, publicity, trade and public relations purposes to the extent permitted by law; and (b) any reproduction of their appearance or awarding or enjoyment of the Prize. Prize recipient shall have no claim (including without limitation, claims based upon invasion of privacy, defamation or right of publicity) arising out of any such use, whether or not intentional.

WINNER SELECTION: Winners will be selected in a random drawing conducted on or about January 12, 2010 from among all eligible entries received during the Sweepstakes Period. Limit of one prize per person. Odds of winning will depend upon the total number of entries received. Drawing will be conducted by Fulfillment Systems Inc., 4001 Clearwater Road, St. Cloud, MN 56301, an independent judging organization. Grand Prize winners will be contacted by mail or email and will be requested to complete a liability and publicity release (where legal) before prize will be provided. All First Prizes will be mailed directly to winner at the address provided during registration. Please allow 6-8 weeks for prize delivery. No PO Boxes will be accepted. If the potential Grand Prize winner does not promptly return liability and publicity release within 7 days of date of notification, or refuses to accept the prize, the potential winner will be disqualified and an alternate winner will be selected.

Sponsor shall have no liability or responsibility to award any prize in connection therewith where: (a) any required Prize Documents are not fully executed and received by Sponsor at the designated address by the due date specified in Prize Documents; or (b) if any mail addressed to the potential Sweepstakes Winners are returned to Sponsor as undeliverable without a forwarding address or if potential Sweepstakes Winners cannot be contacted for any reason; or (c) potential Sweepstakes Winners are deemed ineligible or otherwise non-compliant with any aspect of these Official Rules. Noncompliance will result in disqualification and the selection of an alternate Prize winner.

CONDUCT. By entering this Sweepstakes, each entrant agrees to be bound by these Official Rules and by the decisions of the Sponsor and its agents, which are final and binding in all respects. In the event that a dispute arises regarding the specific individual entitled to receive the prize from an online entry, the entry will be declared made by the authorized account holder of the e-mail address submitted at the time of entry. "Authorized account holder" is defined as the person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Entrants may be requested to provide proof that the Entrant is the authorized account holder of the e-mail address associated with the account/submission. Sponsor reserves the right at its sole discretion to disqualify any individual suspected of tampering with the entry process or the operation of the Sweepstakes or its web site; of action in violation of the Official Rules; or acting in an unsportsmanlike or disruptive manner, including annoying, abusing, threatening or harassing any other person. NOTE: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER PERSON TO DAMAGE ANY WEB SITE ASSOCIATED WITH THE SPONSOR OR ITS AGENTS OR UNDERMINING THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSORS AND THEIR AGENTS RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

LIMITATION OF LIABILITY. No liability is assumed for incomplete entry information or for telephone-related technical difficulties or for technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or utilized in this Sweepstakes or by any human error which may occur in the processing of the entries in this Sweepstakes. If, in the Sponsor’s opinion, there is any suspected or actual evidence of tampering with any portion of the Sweepstakes, or if technical difficulties compromise the integrity of the Sweepstakes, or an unauthorized intervention or other cause beyond its control affects the proper administration, play or conduct of the Sweepstakes, Sponsor reserves the right, at its sole discretion, to (a) suspend or cancel the Sweepstakes in part or its entirety; (b) void any suspected entries, and/or (c) conduct a random drawing to award the prizes using all the entries received prior to suspension or cancellation. Sponsor is not responsible for any typographical or other error in the printing of these Official Rules or any materials associated with the administration of the Sweepstakes or the announcement of the prize.

RELEASE. The winners, by acceptance of the prize, acknowledge that there may be risks inherent in accepting the Prize and that winner may sustain losses from acceptance and enjoyment of the Prize. Winner voluntarily assumes (for himself/herself, his/her heirs, executors, representatives, administrators, assigns and next of kin) all such risks, foreseeable or otherwise, whatever the cause, that winner may sustain, including without limitation losses caused by property damage, injury, illness or death, a negligent act or a negligent failure to act in connection with the delivery, receipt, enjoyment, ownership or use of the Prize (“Losses”). Winner releases, discharges and indemnifies Promoters from any and all rights, claims and causes of action whatsoever that arise as the result of any Losses.

DISPUTES. Each entrant agrees that: (1) any and all disputes, claims, and causes of action arising out of or in connection with this Sweepstakes, or any prizes awarded, shall be resolved individually, without resorting to any form of class action, and any judicial proceeding shall take place in a federal or state court within the State of Minnesota; (2) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental, and consequential damages, and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Sponsors in connection with the Sweepstakes, shall be governed by, and construed in accordance with the laws of the State of Minnesota, without giving effect to any choice of law or conflict of law, rules or provisions (whether of the State of Minnesota or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than the State of Minnesota.

PRIVACY. Information entrants provide to Sponsors will be used to communicate with entrants regarding this Sweepstakes and otherwise as set forth in these Official Rules, as well as to contact entrants at a later date with respect to products or services which the Sponsor believes may be of interest to them. By submitting an entry on-line, all entrants acknowledge and agree that the personal information that they have provided will be maintained on the Sponsor’s server and/or the server of those responsible for maintaining the receiving web site and/or administering the drawing, all in accordance with the Sponsor’s Privacy Statement available at www.lesaffre.com/en/legal-notice.html.
